This document lays out the terms and conditions for a podcast’s presence and availability on Poderation’s (Poderation Ltd, UK Company No. 15615217, “Us”, “We”, “Poderation”, etc) private subscription platform Akouva (“the platform” or similar). These are not the terms of service for any users or subscribers of the Akouva platform.

You (the owner/s and operator/s of the podcast, or “show”, being submitted) submitting your show to Poderation constitutes agreement to these terms under the laws of England and Wales, and grants Poderation full permission to distribute your show to platform subscribers.

  1. SUBMISSIONS
    Submission of a podcast does not guarantee its acceptance to the platform; Poderation reserves the right to refuse submissions. You shall not be considered to be bound by these terms until and unless we confirm that we have accepted your submission and will make your show available on the platform.
    By submitting a podcast, or multiple podcasts, to Poderation for consideration, you confirm the following (for each individual show if submitting multiple podcasts at once):
    1.1. That you are the owner of the submitted show and associated intellectual properties, or the authorised representative thereof.
    1.2. That if you are the authorised representative, that you have the full ability or permissions to submit the show for consideration for the platform.
    1.3. That you have appropriately marked your show as “Clean” or “Explicit” both in the submission form and in any provided RSS feeds.
  2. DISTRIBUTION
    2.1. To enable Poderation to make your show available to Akouva subscribers, you agree to provide Poderation with an RSS feed containing an ad-free copy of your podcast.
    2.1.1. “Ad-free” means lacking or actively having removed any form of paid or unpaid promotional or advertising content for third parties in the content of any episode. This includes both dynamically-inserted and baked-in advertisements of promotions.
    2.1.2. You may still promote first-party items directly related to your show or your personal brand (e.g. Patreon, show merchandise, books you have authored) in the ad-free copy of your podcast, so long as such promotions are not done in partnership with any outside brands or parties.
    2.1.3. You may also promote other podcasts, owned by you or otherwise, in an ad-free copy of your podcast, so long as you have not received payment in exchange for any such promotions.
    2.1.4. You warrant that this RSS feed will be kept up-to-date with any publicly-available version of your podcast in terms of episode and other content releases.
    2.1.5. This does not grant Poderation any form of ownership or control of your content, show, and associated brand. You remain the full owners of any relevant intellectual properties.
    2.2. You retain the right to withdraw your show from the platform at any time, subject to a 14-day notice period. Under normal circumstances, Poderation shall provide the same should we choose to remove the show from the platform for any reason.
    2.2.1. Poderation reserves the right to immediately remove or suspend your podcast from the platform with no notice if we feel that your show does not or no longer represents Poderation’s brand values and/or that your actions and activity on or outside the podcast risk bringing Poderation as a company or brand into disrepute or otherwise negatively affecting our business.
  3. COMPENSATION
    3.1. You shall be compensated for your show’s listens on Akouva on a cost-per-mille basis – i.e. for every 1,000 listens your show receives on Akouva, and only on Akouva, you shall be paid a specific amount (the “CPM”).
    3.1.1. A “listen” shall be counted when an individual subscriber consumes more than 30 consecutive seconds of an individual episode of your show.
    3.2. The CPM shall be set at $25 USD. Poderation reserves the right to adjust the CPM as it deems fit; you shall be informed of any such adjustments and of the adjusted CPM not less than one month before it takes effect.
    3.3. Payments shall be delivered quarterly, with payments in January, April, July and October for the three months preceding. Payments shall be made in US Dollars.
    3.3.1. Payments shall be subject to your podcast reaching a payout threshold of $25 USD owed over each period. Should your podcast not reach said threshold in a period, then the balance owed shall be carried forward into the next period additively until the threshold is reached.
    3.3.2. Any adjustments to the CPM will only take effect in the quarter beginning after the announcement of such adjustment – i.e. if Poderation were to announce an adjustment of CPM in February, the adjustment would affect quarterly payments from July onwards.
    3.3.3. Should your podcast join the platform in the final month of a quarter (i.e. March, June, September or December), then you will receive your first payment in the following quarter’s payment.
    3.3.4. Should you choose to leave the platform or be removed from the platform for any reason, then you will receive your final payment from the platform at the end of the quarter in which the notice period, if applicable, finishes.
    3.3.5. Any payment charges or currency conversion fees shall be subtracted from the payment, or else you shall be responsible for paying any such fees should they arise.
    3.4. Payments shall be sent via Wise, our payment processing partner, via their email-link functionality.
    3.4.1. Unless we are otherwise notified, payments shall be sent to the email used as the contact email for in your initial submission form. Any requests to change the email payments are sent to will require proof of majority agreement from the owners of your show.
    3.5. Payments shall be sent to one email address or bank account only. Any subdivisions of these payments shall be your sole responsibility.
    3.6. We reserve the right to withhold and/or deny any payments, including those detailed in the affiliate section below, if we believe that your or your listeners have engaged in behaviour designed to fraudulently inflate your statistics in a way that does not represent actual listener behaviour or otherwise abuse the Akouva platform.
  4. AFFILIATE CODES
    4.1. You will also be provided with an affiliate code and referral link as part of platform onboarding; you shall earn a 20% affiliate commission on any new subscriptions generated using said code or link so long as the subscription remains active.
    4.1.1. As an example, this means that if a new user were to sign up for a $5 USD per month subscription utilising your affiliate code or referral link, you would receive $1 USD per month for as long as that user remains subscribed to the platform. Should a user cancel and then re-activate their subscription, you would not continue to receive affiliate commission on the re-activated subscription payments.
    4.1.2. Exceptions to this term may occur if your podcast is joining the platform as part of a bulk agreement between Poderation and a podcast network that you are a member of or represents your podcast.
    4.2. Wherever possible, you will receive one quarterly payment comprising both CPM and total affiliate commission over the period; at your request we can provide a breakdown of the division of an individual payment.
  5. PERMISSIONS
    By submitting your show for consideration for availability on the platform, you are explicitly granting Poderation permission to do the following should we accept your show onto the Platform:
    5.1. Make available to our subscribers a copy of the submitted podcast and all content it contains, subject to the stipulations in the distribution section of the terms.
    5.2. To utilise the submitted podcast’s name and logo/artwork in promotional advertising announcing your show’s entry onto the platform, and in promotions showcasing multiple different podcasts available on the platform. Poderation will not produce promotional content for the platform featuring your show only without your explicit permission.
    5.3. To highlight and recommend individual episodes of your show to users as we choose.
    You warrant that you have the necessary ownerships, agreements, and/or permissions to grant Poderation such permissions.
  6. TAXES & STATUS
    6.1. You, the Creator, are an independent contractor under these Terms and this Agreement. Nothing in this Agreement creates any employment, worker, agency, partnership, joint venture or any similar such relationship between the parties.
    6.2. The CPM and any similar such figures are stated are stated gross, and are not subject to any gross-up. You, the Creator, are solely responsible for determining, reporting and paying all taxes, duties, levies, security contributions or any similar governmental charges arising from payments received under these Terms and this Agreement.
    6.3. Except where required by applicable law, the Company shall make payments without deduction or withholding for taxes. If the Company is required by applicable law to deduct or withhold any tax from payments to the Creator, the Company may make such deduction or withholding and remit the relevant amount to the appropriate tax authority. The deducted amount shall be treated as having been paid to the Creator.
    6.4. As necessary, you agree to provide any tax forms, certifications, residency information, identification documents or other information reasonably requested by the Company to comply with applicable tax, reporting, anti-money laundering or payment processor requirements. Failure to provide such information may result in delayed or suspended payouts.
  7. FUTURE UPDATES
    These terms may be changed or updated in the future – acceptance of these terms as they currently exist will also be considered to constitute acceptance of any revised versions in the future, should your show be accepted to the platform.
    Poderation will inform accepted shows whenever these terms are revised, and provide a copy or link to a copy of the revised terms. At all points, regardless of revisions, you retain your right to withdraw from the agreement for any reason, subject to the notice period detailed above.
  8. ADDITIONAL SHOWS
    Should you wish to bring any other podcasts onto the platform and avail them of the platform’s services, and we agree to accept such podcasts, then such podcasts will also be bound by Terms identical to these, including any future adjustments and edits, and may be terminated separately from this agreement.
